PURPOSE This licence governs the rights associated with lawful ownership of an NEC Digital Collectible and its associated artwork. 2. COPYRIGHT AND OWNERSHIP Copyright and all intellectual-property rights in the underlying artwork remain exclusively with Nathaly Ellen Celia. Ownership or transfer of an NEC Digital Collectible does not constitute an assignment or transfer of copyright in the underlying artwork. Ownership of a Digital Collectible does not convey ownership of the associated physical artwork unless expressly agreed separately in writing. 3. COLLECTOR LICENCE The lawful owner of the Digital Collectible is granted a non-exclusive, personal licence to possess, access and display the associated digital artwork for strictly non-commercial purposes. This includes private display and non-commercial public display. The licence may transfer only in connection with lawful transfer of the associated Digital Collectible and subject to the terms of this licence. 4. ATTRIBUTION AND MORAL RIGHTS Where reasonably practicable in connection with public display, the artwork should be identified as a work by Nathaly Ellen Celia. The artist's moral rights are expressly reserved. 5. ARTIST'S RESERVED RIGHTS Nathaly Ellen Celia retains all rights in the underlying artwork, including the rights to reproduce, publish, exhibit, distribute, license, promote, archive and create physical or digital reproductions of the artwork, including prints, publications and exhibition materials. Ownership of the Digital Collectible grants no exclusivity in the underlying artwork except where expressly agreed separately in writing. 6. APPLICATIONS FOR ADDITIONAL RIGHTS Ownership of an NEC Digital Collectible does not confer any automatic right to acquire, obtain or receive additional copyright, commercial, reproduction, licensing or other intellectual-property rights in the associated artwork. A lawful collector may submit a written application to Nathaly Ellen Celia requesting additional rights in relation to a particular artwork. Nathaly Ellen Celia retains discretion to consider, decline or negotiate any such application. Any additional rights approved by Nathaly Ellen Celia must be established through a separate written agreement specifying the precise rights granted or assigned and, where applicable, their scope, duration, territory, permitted uses, consideration and other conditions. Unless and until such a separate agreement has been executed, this licence remains unchanged and no additional rights shall be implied from discussions, negotiations, correspondence or ownership of the Digital Collectible. 7. COMMERCIAL USE No commercial reproduction, merchandising, sublicensing, advertising use, commercial publication or other commercial exploitation of the artwork is permitted without prior written permission from Nathaly Ellen Celia or a separate written agreement granting such rights. 8. ALTERATION AND DERIVATIVE WORKS The collector may not materially alter, adapt, remix or create derivative versions of the artwork and present them as authentic works of Nathaly Ellen Celia. Nothing in this licence grants permission to misrepresent the authorship, authenticity or integrity of the artwork. 9. TOKENISATION AND FRACTIONALISATION The collector may not independently mint, tokenise, wrap, fractionalise or create another digital collectible purporting to represent the underlying artwork without prior written permission from Nathaly Ellen Celia. 10. ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING This licence does not grant permission intentionally to provide, license or exploit the artwork for generative-AI training, machine-learning datasets or comparable model-training purposes without prior written permission from Nathaly Ellen Celia. 11. NAME, SIGNATURE AND ENDORSEMENT Ownership of the Digital Collectible does not grant any right to use Nathaly Ellen Celia's name, identity or signature in a manner that implies endorsement, sponsorship or association with any person, organisation, product, service, political cause or commercial activity. 12. TRANSFER Upon lawful transfer of the Digital Collectible, the transferring collector's rights under this licence terminate and the lawful recipient becomes eligible to exercise the collector rights granted by this licence. No separate sublicence may be granted by the collector. 13. TECHNICAL INDEPENDENCE Rights granted under this licence are associated with lawful ownership of the Digital Collectible and are not dependent upon the continued operation of any particular marketplace, website, application, gateway or user interface. 14. NO FINANCIAL RIGHTS OR PROMISE The Digital Collectible conveys no right to profits, dividends, revenue, royalties or financial returns from the artwork, the artist or NEC Digital Collectibles except where expressly provided by a separate written agreement. The Digital Collectible is not offered as a promise of financial return or future value. 15. BREACH A material breach of this licence may terminate the rights granted to the collector under this licence. Copyright and all rights reserved to the artist remain unaffected. 16. NO PRECEDENT The granting of additional rights, permissions, licences or assignments in relation to one artwork or NEC Digital Collectible does not create any entitlement, expectation or precedent in relation to any other artwork or NEC Digital Collectible. 17. GOVERNING LAW This licence is governed by the laws of England and Wales, subject to any mandatory rights or protections applicable under law. 18. RESERVATION OF RIGHTS Any rights not expressly granted by this licence are reserved to Nathaly Ellen Celia. 19. VERSIONING AND AMENDMENTS Each version of this licence is identified by its licence ID. The licence version associated with a particular NEC Digital Collectible shall remain identifiable as part of its supporting record. Publication of a later version of this licence does not, by itself, amend or replace the licence terms associated with an existing Digital Collectible. Any agreed change to the rights applicable to a particular Digital Collectible must be documented separately or expressly incorporated into its supporting record.
